Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Platinum Sound, LLC ("Platinum Sound," "we," "us," or "our") governing your access to and use of the Platinum Sound platform, website, mobile application, and all associated services (collectively, the "Services").

By creating an account, accessing, or using the Services in any manner, you affirm that you are at least 13 years of age, have read and understood these Terms, and agree to be bound by them. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must immediately cease using the Services.

2. Description of Services

Platinum Sound is a digital music marketplace and distribution platform that allows artists to upload, showcase, and sell original music, and allows listeners to discover, stream, and purchase music. The platform also provides communication tools between artists and fans, playlist functionality, and optional subscription-based features.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at legal@platinumsound.us of any unauthorized account access

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, used fraudulently, or is in violation of these Terms.

4. User Content and Intellectual Property

4.1 Ownership

You retain all ownership rights to original content you upload to the platform ("User Content"), including music recordings, lyrics, artwork, and other creative works.

4.2 License Grant

By uploading User Content, you grant Platinum Sound a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, distribute, display, and transmit your content solely for the purpose of operating and improving the Services.

4.3 Content Rights Certification

Before uploading any content, creators are required to certify — and by uploading do certify — that they either:

• Own the content they are uploading; or
• Possess all necessary licenses, permissions, and commercial rights required to distribute, stream, sell, or monetize that content on the platform.

This certification is a mandatory condition of upload. Uploading content without holding the required rights is a material breach of these Terms and may result in immediate content removal and account termination.

4.4 Content Representations

You represent and warrant that:

• You own or have the necessary licenses, rights, and permissions to upload and distribute your User Content
• Your User Content does not infringe any third-party intellectual property, privacy, or publicity rights
• You have obtained all necessary clearances for any samples, interpolations, or third-party materials included in your content
• Your User Content does not violate any applicable law or these Terms

4.5 Prohibited Content

You may not upload content that is defamatory, obscene, harassing, threatening, or otherwise objectionable; that infringes intellectual property rights; or that promotes illegal activity.

5. Payments and Transactions

5.1 Purchases

All purchases made through the Services are processed by Stripe, Inc., a third-party payment processor. By making a purchase, you also agree to Stripe's terms of service. Platinum Sound does not store your full payment card information.

5.2 Payment Gateway & Processing Fees

Platinum Sound utilizes Stripe, Inc. as its third-party payment gateway to securely process all transactions on the platform. As a payment gateway, Stripe may apply its own standard payment processing fees to transactions. These fees are assessed directly by Stripe and are separate from any charges imposed by Platinum Sound.

The only charge that Platinum Sound collects from users is the optional platform subscription fee, which grants access to premium features of the Services. Beyond this subscription fee, Platinum Sound does not charge any platform fees, commission fees, or service fees of any kind on track purchases made by listeners. When you buy a track, the listed price is what you pay — Platinum Sound does not take any additional cut from that purchase price.

For artists, Platinum Sound does not impose any revenue share, platform commission, or additional fees on track sales. Artists receive the full proceeds of each sale. The only deduction is the standard payment processing fee applied directly by Stripe to the transaction (typically a small percentage plus a fixed amount per transaction, as outlined in Stripe's fee schedule at stripe.com/pricing). These processor fees are charged and collected solely by Stripe — they are not collected by or paid to Platinum Sound in any way.

By completing a transaction on the platform, you acknowledge that Stripe's processing fees may apply and agree to Stripe's applicable terms and fee schedule. Platinum Sound makes no representations regarding Stripe's fee structure, which is subject to change at Stripe's sole discretion. 5.3 Artist Revenue

Artists receive 100% of the proceeds from track sales, net only of Stripe's standard payment processing fees as described in Section 5.2 above. Platinum Sound does not impose any additional commission or platform revenue share. Payouts are subject to Stripe's connected account requirements and disbursement schedule.

5.4 Subscriptions

Subscription fees are billed on a recurring basis. You authorize us to charge your payment method at the start of each billing cycle. Subscriptions may be cancelled at any time; cancellation takes effect at the end of the current billing period with no partial refunds.

5.5 Refund Policy

All music purchases are final and non-refundable unless the purchased content was materially misrepresented or the file is demonstrably corrupted and we are unable to provide a replacement. Refund requests must be submitted within 7 days of purchase.

6. Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Upload, distribute, or otherwise make available any content that infringes third-party rights
• Engage in unauthorized scraping, crawling, or automated data extraction
• Attempt to gain unauthorized access to the Services, related systems, or networks
• Transmit viruses, malware, or any other malicious code
• Harass, threaten, or intimidate other users
• Circumvent any access controls or technological protection measures
• Use the platform to distribute spam or unsolicited commercial communications
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

7. DMCA and Copyright Infringement

Platinum Sound respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that content on our platform infringes your copyright, please send a written notification to our designated DMCA Agent at:

Your notice must include: (i) your signature; (ii) identification of the copyrighted work; (iii) identification of the infringing material; (iv) your contact information; (v) a statement of good faith belief; and (vi) a statement of accuracy under penalty of perjury.

8. Termination

We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, with or without notice, for any violation of these Terms or for any other reason we deem necessary. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting legal@platinumsound.us. Termination does not entitle you to refunds of any fees previously paid.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PLATINUM SOUND DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLATINUM SOUND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (I) $100 USD OR (II) THE AMOUNT YOU PAID TO PLATINUM SOUND IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Platinum Sound and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (i) your access to or use of the Services; (ii) your User Content; (iii) your violation of these Terms; or (iv) your violation of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the platform with an updated date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. We will endeavor to provide notice of material changes.
